VINADOU LLC is hereinafter referred to as » VINADOU «Â

Any individual or legal entity placing an order via the platform VINADOU.
The Customer and VINADOU are hereinafter collectively referred to as the » Parts « .
Article 2 - Purpose of the Contract
VINADOU offers a service for the creation, configuration and transfer of digital video assets: the provision of
a fully-configured YouTube Brand Account that meets the eligibility criteria for the
YouTube Partner Program (YPP).
The service includes :
- Create and set up a YouTube Brand Account, separate from the user's personal Google Account.
provider. - Compliance with YPP criteria (minimum 1,000 subscribers, 4,000 viewing hours over 12
months). - Verification that content complies with YouTube Community Policies.
- Secure transfer of ownership via Google role management.
- Withdrawal of the service provider after confirmation of acceptance by the customer.
- SEO customization according to the niche defined by the buyer (name, description, keywords, category)
- Creation of included visuals (banner, profile photo, «About» section)
- Creation of 3 to 5 structured playlists
The service does not constitute a transfer of a personal Google account or a sale of personal data.
Article 3 - Pricing and payment terms
3.1 Prices
The final price is discussed and communicated to the customer after prior consultation of the parameters related to the customer's project, excluding bank transaction fees payable by the customer.Â
3.2 Payment methods
Acceptance of payment by ACH, bank transfer or credit card. Customers can pay their invoice with a single click.
3.3 Terms - Two-step payment
Deposit (50%): Paid on order confirmation. Triggers the start of the service.
Balance (50%): Settled when the Customer is added as Brand Account Manager and ascertains that the chain is compliant.
Complete transfer of ownership (Owner status) is made after receipt of the balance.
No final transfer of ownership will take place until full payment has been received and confirmed.
Article 4 - Delivery time
VINADOU undertakes to deliver the asset within a maximum of 14 calendar days from confirmation of the deposit, in two stages:
Step 1:Â Customer added as Brand Account Manager - before day 14. The Customer has 48 hours to check the conformity of the chain.
Step 2:Â Transfer of owner status within 24 hours of receipt of balance.
Article 5 - Obligations of the Parties
5.1 VINADOU's obligations
- Deliver a YouTube Brand Account that meets YPP criteria within the agreed deadline.
- Guarantee that the content is original, royalty-free and compliant with YouTube policies on the date of delivery.
- Ensure secure technical transfer via Google role management.
- Respond to customer requests within 48 working hours.
5.2 Customer obligations
- Provide a valid Google email address to receive the Brand Account.
- Please read and accept the YouTube and Google Terms of Use before ordering.
- Use the delivered asset in accordance with YouTube policies.
- Assume full responsibility for the use of the chain after transfer of ownership.
- Provide briefing information (niche, target language, editorial angle) within 48 hours of confirmation of deposit. Any delay in providing this information will delay delivery accordingly.
Article 6 - Warranties and Limitation of Liability
6.1 VINADOU warranties
On the delivery date (Step 1), VINADOU guarantees :
- That the Brand Account meets the quantitative YPP criteria.
- That the published content is free of active copyright claims.
- That the account is not subject to any community strike.
6.2 Liability exclusions
- YouTube's decision to accept or reject a YPP request submitted by the Customer after delivery.
- Suspension, demonetization or termination following post-transfer actions by the Customer.
- Any change in YouTube policies after the delivery date.
- Loss of advertising revenue resulting from a decision by the platform.
VINADOU's liability is limited to the amount actually paid by the Customer.
YouTube and Google are independent third parties with no affiliation to VINADOU.
Article 7 - Refund policy
No refunds will be granted after full transfer of ownership (Step 2).
In the event of non-delivery at Stage 1 within 14 calendar days, the customer may demand a full refund of the deposit (7 working days) or an extension by written agreement. In the event of proven non-conformity at Stage 1, VINADOU will propose a replacement or a partial refund of the deposit.
Article 8 - Confidentiality and Data Protection
VINADOU collects only the data necessary for the order: name, email, Google address. This data will not be sold or passed on to third parties. Right of access, rectification and deletion : contact@vinadou.com.
Article 9 - Intellectual property
The contents of the Brand Account delivered are produced by VINADOU or under license, with no third-party rights active at the date of delivery.
After the transfer, the Customer becomes the sole owner of the exploitation rights and assumes full responsibility for any content subsequently published.
Article 10 - Applicable law and settlement of disputes
The present GTC are governed by the law applicable at the place of incorporation of the VINADOU LLC.
Any dispute will be subject to an attempt at amicable resolution within 30 days, and will then be submitted to ICC arbitration or to the competent court at the registered office of VINADOU.
Article 11 - Acceptance of the GCS
By validating his/her order and paying the deposit, the Customer declares that he/she has read and understood the present terms and conditions. GTC and accept them without reservation. VINADOU reserves the right to modify them.
The 4 main GTC applicable are those in force at the date of the order.
